Sponsorship Agreement
The following outlines the terms and conditions of the sponsorship agreement. Please review each section carefully before proceeding.

1. Sponsorship Details1.1. Event Details Event Name: Aspiring CISO Workshop Event Date: (For Event Host use only) Event Location: (For Event Host use only) 1.2. Sponsorship Contribution The Sponsor agrees to provide: Platinum: $15,000 Gold: $10,000 Silver: $5,000 Payable via PayPal or Credit Card 1.3. Sponsor Benefits In exchange for the contribution, the Host agrees to provide the following benefits: Placement of the Sponsor's logo on event banners or posters or SWAG items (e.g., notebooks), and promotional materials. Recognition on Tri-Salus LLC's LinkedIn, Instagram, and website. Verbal acknowledgment during the event's opening and closing remarks. Access to participant contact information (name, email, role/title) for marketing purposes, contingent upon explicit participant consent. A booth or speaking opportunity during the event (if applicable). 1.4. Exclusivity This sponsorship is non-exclusive. The Host reserves the right to enter into agreements with other sponsors for the same Event(s).

2. Use of Sponsor Materials2.1. Logo and Trademark Usage The Sponsor grants the Host a limited, non-exclusive, royalty-free license to use its name, logo, and trademarks solely for the purposes outlined in this Agreement. The Host will adhere to the Sponsor's branding guidelines, which must be provided within five (5) business days of this Agreement's execution. 2.2. Approval Process The Sponsor must approve all promotional materials featuring its logo or branding before publication and use. 2.3. Ownership The Sponsor retains all rights to its intellectual property, and no transfer of ownership is implied under this Agreement.

3. Data Sharing and Privacy3.1. Participant Data The Host will share participant data (limited to name, email, and role/title) with the Sponsor only if participants provide explicit consent. 3.2. Data Use Restrictions The Sponsor agrees to use shared data solely for purposes related to the Event(s) and in compliance with all applicable privacy laws, including GDPR and CCPA. 3.3. Data Security The Sponsor agrees to implement adequate security measures to protect shared data and notify the Host within forty-eight (48) hours of any data breach involving participant information.

4. Payment Terms4.1. Payment Deadline The Sponsor agrees to pay the full sponsorship fee by _______________. 4.2. Refund Policy Sponsorship fees are non-refundable unless the Event is canceled by the Host. If the Event is rescheduled, the Host may choose to apply its contribution to the rescheduled Event. In the case of partial cancellation, Sponsor benefits will be adjusted proportionately.

5-10. Additional Terms5. Intellectual Property: All training materials, presentations, and content provided by the Host during the Event(s) are the exclusive intellectual property of Tri-Salus LLC. The Sponsor may not reproduce, distribute, or use these materials without prior written consent. 6. Indemnification and Liability: Both parties agree to appropriate indemnification terms, and neither Party shall be liable for any indirect, incidental, or consequential damages arising from the Event or this Agreement. 7. Term and Termination: This Agreement is effective as of the date signed by both Parties and remains in effect until the conclusion of the Event(s). Either Party may terminate with thirty (30) days' written notice if the other Party breaches any material term. 8. Force Majeure: Neither Party shall be held liable for delays or failure to perform any obligations under this Agreement due to events beyond their reasonable control. 9. Dispute Resolution: Any disputes arising under this Agreement shall first be resolved through good faith negotiation. If unresolved, disputes will be submitted to mediation or arbitration under the laws of the State of Florida. 10. Miscellaneous: This Agreement constitutes the entire understanding between the Parties, any changes must be made in writing and signed by both Parties, and it shall be governed by the laws of the State of Florida.
